The purpose of these terms of service is to define the agreement ('Agreement') between eXelerete Innovation Solutions Corporation ('eXelerete') and its users ('Subscriber') regarding the provision and use of services ('Services'). This agreement encompasses the scope of Services provided, the rights and responsibilities of both parties, and compliance with relevant Canadian and US laws and regulations. Subscriber includes both paying and non-paying users. If you do not agree to this Agreement, you are prohibited from using or accessing our Services. We may modify these terms at any time by posting the revised terms to our website. Your continued use of our Service means that you have accepted the changed terms. eXelerete may at any time revise this Agreement and any other information contained in this website by updating this posting.

Applicable Laws and Regulations

These terms of service are crafted in adherence to all applicable Canadian and US laws and regulations, including consumer protection laws, privacy laws, and other relevant legal requirements.

Dispute Resolution

Any dispute, controversy, or claim between eXelerete and Subscriber arising out of or in connection with this Agreement shall be resolved exclusively by arbitration under American Arbitration Association rules. Demands for arbitration must be filed within one year of when the dispute arose. If the controversy is less than $10,000, the dispute will be decided on written submissions without a hearing. The arbitrator’s decision is final and not subject to appeal. No punitive, special, consequential, or indirect damages may be awarded. Arbitration costs will be divided per the Arbitration Rules. Each party pays its own legal fees unless otherwise determined by the arbitrator. No disputes may be arbitrated on a class or representative basis. By agreeing, both parties waive any right to class actions, class arbitration, or jury trials.

Services

eXelerete will receive and process incoming calls on behalf of Subscriber and assist in fulfilling customer queries using AI technology. While eXelerete endeavors to maintain uninterrupted service, interruptions, delays, or issues may occur due to maintenance, repairs, or other factors. eXelerete will update Subscriber promptly about such occurrences. Subscriber acknowledges eXelerete is not liable for losses or damages from the Services.

Service Fees and Payments

Subscribers agree to pay applicable fees ('Fees') as outlined on the eXelerete website or as otherwise agreed. Fees may change at eXelerete’s discretion with notice. Payment is due on the first day of each month. eXelerete reserves the right to suspend Services for late payments.

Cancellation

Subscribers may cancel Services at any time by emailing support@aloai.ca. eXelerete may terminate Services for non-payment or other breaches. A 30-day cancellation notice is required. These terms remain in effect until terminated by either party.

Limitation of Liability

eXelerete shall not be liable for any direct, indirect, incidental, consequential, or punitive damages related to the Services. Subscribers agree to indemnify and hold harmless eXelerete, its affiliates, and its officers, directors, employees, and agents from claims arising from use of Services or breach of terms.

Referral Program

By joining eXelerete’s Referral Program, participants agree to its terms. Rewards are provided for successful referrals. eXelerete may modify or end the program at any time. Participants consent to personal data collection and use as outlined in eXelerete’s privacy policy.

Warranty Disclaimer

eXelerete provides Services on an 'as is' and 'as available' basis, without warranties of any kind. eXelerete does not guarantee accuracy, completeness, timeliness, reliability, or availability of its services, and shall not be liable for any loss or damage arising from Subscriber’s use.

Changes to the Terms of Service

eXelerete may revise these Terms of Service at any time, with notice provided via the customer portal. Continued use of Services after changes means acceptance of the revised terms.

Data Privacy and Security

eXelerete prioritizes data privacy and security. Personal and business information is collected, used, and shared only as required to provide Services and by law. Measures are implemented to protect data from unauthorized access, disclosure, alteration, or destruction.

Confidentiality

eXelerete will keep Subscriber’s confidential information strictly confidential and will not disclose it to third parties without written consent, except as required by law.
